Terms of Service

Please read these Terms of Service ("Terms") carefully before using the services of Digital Demand ("Company", "we", "our", or "us"). By engaging our services or using our website, you agree to be bound by these Terms.

1. Services

Digital Demand provides digital marketing services including but not limited to: Search Engine Optimization (SEO), Google Ads management, Meta Ads management, Social Media Marketing, Website Design & Development, WhatsApp Marketing, Content Marketing, and Lead Generation.

Specific services, deliverables, timelines, and fees will be detailed in a separate Service Agreement or Proposal provided to each client.

2. Payment Terms

• Monthly retainer services are billed in advance at the beginning of each month.
• One-time projects (e.g., website design) require a 50% advance payment before work begins and 50% upon completion.
• Payments are due within 7 days of invoice date.
• Late payments may attract a 2% monthly interest charge.
• All prices are exclusive of GST (18%), which will be added to all invoices.
• Ad spend for Google Ads and Meta Ads is paid directly by the client to the respective platform and is separate from our management fees.

3. Client Responsibilities

The client agrees to:

• Provide timely access to required accounts (Google Analytics, Google Ads, Meta Business Manager, website CMS, etc.)
• Provide necessary brand assets, content, and approvals in a timely manner
• Provide accurate and complete information about their business
• Review and approve deliverables within 7 business days of submission
• Maintain required ad budgets as agreed upon

4. Intellectual Property

Upon receipt of full payment, the client owns all creative work produced specifically for them (ad copies, graphics, website design). However, Digital Demand retains the right to showcase completed work in its portfolio and marketing materials unless explicitly agreed otherwise.

5. Confidentiality

Both parties agree to keep confidential all proprietary information shared during the engagement. Digital Demand will not share client business information, campaign data, or strategy with any third parties without explicit written consent.

6. Performance & Results

While we use proven strategies and best practices, Digital Demand cannot guarantee specific results such as particular rankings, lead volumes, or revenue figures, as these depend on multiple factors including market conditions, ad budgets, client responsiveness, and algorithm changes. We commit to transparent reporting and continuous optimization to achieve the best possible results.

7. Limitation of Liability

Digital Demand's total liability to the client for any claims arising from or related to our services shall not exceed the total fees paid to us in the 3 months prior to the claim. We are not liable for indirect, incidental, or consequential damages.

8. Termination

• Monthly retainer services may be terminated by either party with 30 days' written notice.
• In case of termination, work completed up to the termination date is billable.
• No refunds are provided for the current billing period upon cancellation.
• Upon termination, we will provide a transition package including reports and access credentials.

9. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Ahmedabad, Gujarat, India.

10. Changes to These Terms

We reserve the right to modify these Terms at any time. Continued use of our services after changes constitutes acceptance of the new Terms.
